Terms of Service

By creating an account, accessing, or using the Service, you:

• (a) confirm that you are at least 18 years of age;
• (b) have the legal capacity to enter into a binding agreement;
• (c) agree to comply with these Terms and our Privacy Policy; and
• (d) if acting on behalf of a company or organisation, represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not use the Service.

VantaBid is an artificial intelligence-powered construction estimating platform that assists users by analysing drawings, plans, specifications and related documents to generate:

• Bills of Quantities (BOQs);
• Procurement schedules;
• Labour estimates;
• Work Breakdown Structures (WBS);
• Quantity take-offs; and
• Related construction estimating outputs.

The Service is intended solely as an estimating assistance tool and does not provide engineering, quantity surveying, design, legal, financial, construction or professional advice.

You acknowledge and agree that:

• (a) all outputs generated by the Service are estimates only;
• (b) AI-generated outputs may contain inaccuracies, omissions, assumptions, or interpretation errors;
• (c) all outputs must be independently reviewed, verified, and validated by appropriately qualified personnel before being relied upon for pricing, procurement, construction, tender submission, project delivery, or commercial decisions; and
• (d) VantaBid is not responsible for any loss arising from reliance on AI-generated outputs.

You acknowledge and agree that:

• (a) all quantities, Bills of Quantities (BOQs), procurement schedules, labour estimates, Work Breakdown Structures (WBS), pricing recommendations and other outputs generated by the Service are provided for informational and estimating assistance purposes only;
• (b) VantaBid does not guarantee the accuracy, completeness or suitability of any output for tendering, procurement, construction, contractual commitments or project delivery;
• (c) you are solely responsible for reviewing, verifying and validating all outputs prior to submitting any tender, quotation, proposal, budget, procurement order or contractual offer; and
• (d) VantaBid shall not be liable for any loss, damage, cost, claim, delay, variation, liquidated damages, procurement error, pricing discrepancy, tender shortfall, loss of profit or project loss arising from reliance on any output generated by the Service.

You must provide accurate and complete account information and keep your login credentials secure. You are responsible for all activities occurring under your account. You must immediately notify VantaBid of any unauthorised access or suspected security breach by contacting admin@vantabid.com.

VantaBid offers subscription plans, including free trial periods and paid subscriptions. Unless otherwise stated:

• (a) fees are payable in Australian Dollars (AUD);
• (b) subscriptions automatically renew at the end of each billing period;
• (c) payments are processed by third-party payment providers including Stripe;
• (d) you authorise recurring charges to your nominated payment method; and
• (e) failure to pay may result in suspension or termination of access.

Subscription fees are non-refundable except where required by law.

VantaBid may offer free trial access. We reserve the right to:

• (a) limit free trial eligibility;
• (b) verify user identity;
• (c) restrict multiple trial accounts;
• (d) suspend or terminate accounts created to circumvent trial limitations; and
• (e) refuse future trial access at our discretion.

You must not:

• (a) use the Service for unlawful purposes;
• (b) upload content that you do not own or have permission to use;
• (c) reverse engineer, decompile, disassemble or otherwise attempt to derive source code or underlying models;
• (d) scrape, harvest, copy or extract data from the Service;
• (e) interfere with platform security or performance;
• (f) upload malicious software or harmful code;
• (g) resell, sublicense or commercially exploit the Service without written approval; or
• (h) use the Service in a manner that could damage VantaBid's reputation or systems.

VantaBid retains all ownership rights in and to:

• the platform;
• software;
• algorithms;
• workflows;
• databases;
• interfaces;
• trademarks;
• branding; and
• all intellectual property comprising the Service.

Except as expressly granted, no rights are transferred to users.

You retain ownership of all documents, drawings, plans and materials uploaded to the Service ("User Content"). Subject to these Terms, you also retain ownership of project-specific outputs generated from your User Content.

You grant VantaBid a limited, worldwide, royalty-free licence to host, process, store, transmit and analyse User Content solely for the purpose of providing, maintaining, securing and improving the Service.

VantaBid will not sell User Content and will not use project-specific content to train public AI models without your explicit consent.

While VantaBid aims to provide reliable access, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, upgrades, system failures, third-party service interruptions, internet outages, cyber incidents, or events beyond our control.

Following account cancellation or termination, VantaBid may retain data for a reasonable period to comply with legal obligations, resolve disputes, enforce agreements, maintain backups, and support business continuity. Thereafter, data may be permanently deleted without further notice.

Users are responsible for maintaining their own copies of all uploaded documents and generated outputs.

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. VantaBid makes no warranties, representations or guarantees regarding:

• (a) accuracy;
• (b) completeness;
• (c) suitability for a particular purpose;
• (d) reliability;
• (e) availability; or
• (f) fitness for commercial use.

We do not warrant that AI-generated outputs will be error-free.

Nothing in these Terms excludes rights that cannot be excluded under Australian Consumer Law. To the maximum extent permitted by law:

• (a) VantaBid excludes all liability for indirect, incidental, special, consequential or punitive damages;
• (b) VantaBid is not liable for project losses, tender losses, procurement losses, lost profits, lost revenue, business interruption or reputational damage;
• (c) VantaBid is not responsible for errors or omissions in AI-generated outputs; and
• (d) VantaBid's total aggregate liability arising from any claim shall not exceed the total fees paid by you to VantaBid during the three (3) months immediately preceding the event giving rise to the claim.

You agree to indemnify and hold harmless VantaBid, its directors, officers, employees and contractors against any claims, losses, liabilities, costs, damages and expenses arising from:

• (a) your use of the Service;
• (b) your User Content;
• (c) your breach of these Terms; or
• (d) your reliance on outputs generated by the Service.

You may cancel your subscription at any time. VantaBid may suspend or terminate your account immediately if:

• (a) you breach these Terms;
• (b) payment remains outstanding;
• (c) we reasonably believe your account is being used fraudulently or unlawfully; or
• (d) your use creates risk to the Service or other users.

Upon termination, your right to access the Service immediately ceases.

These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

We may amend these Terms from time to time. Where changes are material, we will provide reasonable notice through email or within the Service. Continued use of the Service following the effective date of revised Terms constitutes acceptance of those changes.
